These Terms & Conditions describe the basis on which Mali Compute provides AI integration services. Please read them at your own pace. By engaging our services or using this website, you indicate that you have read and understood these terms. If you have questions, contact us at [email protected].
1. Definitions
- "We / Us / Our" refers to Mali Compute, a business registered in Chiang Mai, Thailand.
- "You / Client" refers to the individual or organisation engaging our services or visiting our website.
- "Services" refers to Link Assessment, Connected Build, and Tending Service as described on our website.
- "Agreement" refers to these Terms & Conditions along with any written service proposal or engagement confirmation exchanged between parties.
- "Deliverables" refers to any integration code, documentation, reports, or other outputs produced by Mali Compute as part of a service engagement.
2. Acceptance of Terms
By using this website or engaging Mali Compute for services — whether through a formal agreement, verbal instruction, or written correspondence — you confirm that you have read these Terms & Conditions and accept them.
You must be at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of a business or organisation, you confirm you have authority to bind that entity to these terms.
If you do not accept these terms, please discontinue use of this website and do not engage our services.
3. Service Description
Mali Compute provides technical AI integration services to business clients. Our three core services are:
- Link Assessment (฿4,400): A review of one to two of your existing systems, identifying where AI services could be connected reliably. We present a written set of options; no build work is carried out at this stage.
- Connected Build (฿9,800): Full integration of a chosen AI service with your software, including testing and documentation handover. Typical duration is approximately five weeks.
- Tending Service (฿16,700/month): Ongoing care and maintenance of your integration, with monthly reporting and a named engineer assigned to your account.
Services are delivered remotely and on-site where agreed. We primarily serve clients in Thailand, though we may work with international clients at our discretion.
4. Engagement and Scope
Each service engagement is initiated by a written proposal or confirmation from Mali Compute. The scope, deliverables, timeline, and fees are documented in that proposal. Work outside the agreed scope requires a separate written agreement.
You are responsible for providing accurate information about your systems, requirements, and constraints. Mali Compute is not liable for issues arising from incomplete or inaccurate information provided by the client.
Changes to scope requested during an engagement will be assessed and quoted separately. We will communicate any impact on timeline or cost before proceeding.
5. Client Responsibilities
- Provide timely access to systems, credentials, and documentation as reasonably needed
- Maintain appropriate backups of your systems and data before work commences
- Ensure you have the rights and permissions to integrate the third-party services you are asking us to connect
- Respond to requests for review, feedback, or approvals within a reasonable timeframe
- Use our deliverables and website in a lawful manner, consistent with applicable Thai law
- Not attempt to copy, resell, or distribute our proprietary methods or documentation without written consent
6. Intellectual Property
All content on this website — including text, layout, and design — belongs to Mali Compute and is protected under applicable intellectual property law. You may view and print pages for personal reference, but may not reproduce or repurpose website content commercially without permission.
Deliverables produced for your engagement transfer to you upon receipt of full payment. Mali Compute retains the right to use general technical knowledge, methods, and non-confidential approaches developed during the engagement in future work.
Third-party software, frameworks, or AI services integrated as part of your project remain subject to their own licences. You are responsible for complying with those licences.
7. Payment Terms
Fees are quoted in Thai Baht (฿) and are due as specified in the project proposal. Payment methods accepted include bank transfer to our Thai bank account; details are included in project invoices.
For the Connected Build service, a deposit of 50% is typically required before work begins, with the balance due upon handover. For the Tending Service, fees are invoiced monthly in advance.
The Link Assessment fee is payable in full prior to commencement of the review.
If payment is delayed without prior arrangement, we reserve the right to pause work or withhold deliverables until the outstanding amount is received. Where an engagement is cancelled by the client after work has begun, fees for work completed to date are payable.
8. Confidentiality
Both parties agree to treat as confidential any non-public information shared in the course of an engagement. We will not disclose your system details, business information, or data to third parties except as needed to deliver the service (for example, working with an AI service provider on your behalf) or as required by law.
We ask clients to treat our internal documentation, pricing, and methods with the same care. This mutual obligation continues for two years after the conclusion of an engagement.
9. Disclaimers
Mali Compute delivers integration work with care and professional attention. However, we do not warrant that integrations will operate without interruption or error in all circumstances, particularly where third-party AI services or your own software change over time.
The outcomes of AI integrations depend on many factors outside our control — including the quality of your data, the behaviour of third-party APIs, and changes made to your systems by others. We do not make representations about specific business results that will follow from an integration.
This website and its content are provided as a general information resource. Nothing here constitutes legal, financial, or strategic advice.
10. Limitation of Liability
To the extent permitted by Thai law, Mali Compute's total liability for any claim arising from a service engagement is limited to the fees paid for that specific engagement.
We are not liable for indirect, consequential, or incidental losses — including loss of revenue, data loss, or business interruption — even where we have been informed of the possibility of such losses.
We are not liable for failures or changes in third-party AI services or APIs that affect the operation of integrations we have delivered.
11. Indemnification
You agree to indemnify and hold harmless Mali Compute and its personnel from any claims, losses, or costs (including reasonable legal fees) arising from your breach of these terms, your misuse of our deliverables, or your failure to comply with the terms of third-party services integrated into your systems.
12. Termination
Either party may end an engagement by providing written notice. For the Tending Service, 30 days' notice is requested. For project-based services, early termination by the client does not entitle a refund for work already completed.
Mali Compute may suspend or terminate a service engagement if: payment is materially overdue, client conduct prevents progress, or the engagement is found to involve unlawful activity.
Provisions relating to intellectual property, confidentiality, payment for work completed, limitation of liability, and dispute resolution continue to apply after termination.
13. Dispute Resolution
These terms are governed by the laws of the Kingdom of Thailand. Any dispute arising will first be addressed through direct conversation between the parties, with a view to reaching a fair resolution without formal proceedings.
If informal resolution is not achieved within 30 days of a written notice of dispute, either party may refer the matter to mediation through a recognised Thai mediation service before pursuing court proceedings.
The courts of Chiang Mai, Thailand, have jurisdiction over any matter that cannot be resolved through the above process.
14. General Provisions
- Entire agreement: These terms, together with any written project proposal, constitute the full agreement between the parties for the relevant service.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in effect.
- Waiver: A failure by either party to enforce a provision does not constitute a waiver of that provision in future.
- Assignment: You may not assign your rights or obligations under these terms without our written consent.
- Notices: Formal notices should be sent by email to [email protected] or by post to our registered address below.
15. Changes to These Terms
We may update these Terms & Conditions from time to time. Changes will be published on this page with a revised date. We will make reasonable efforts to notify active clients of material changes by email.
Continued use of our website or services after changes are published indicates your acceptance of the updated terms.
